Under the provisions of the City of Toronto Act (Bill 148 of the Legislative Assembly of the Province of Ontario) established in 1983 and later amended in 1997, the Board of Governors of Exhibition Place was formed for the purpose of operating and managing the grounds known as Exhibition Place.

As prescribed by the Act, the Board of Governors reports directly to City Council, wherein the composition of the Board is 13 members (Mayor’s Designate, 4 Council Members, 4 Public Appointments, 3 appointments nominated by the CNEA, and the CNEA President).

At its meeting of March 5, 2012, City Council approved a report entitled “Separation of the CNEA from the Board of Governors”, wherein one of the recommendations was related to the composition of the Board to remove the four CNEA representatives on the Board in order to transition the CNEA to independent governance.
